Article 1214: The right to apply to a treaty establishing a legal person and to a treaty relating to the exercise of the rights of a party to a legal person

The choice of the law to be applied to a treaty establishing a legal person and to a treaty relating to the exercise of the rights of a party to a legal person may not affect the operation of peremptory but 2. In the absence of agreement between the parties on the application of the law to the treaty establishing a legal entity, the State of the place where the legal person is to be established shall be responsible for the matters referred to in article 1202, paragraph 2, of the present Code. The law of the country in which the legal person is established or is to be established applies to the treaty relating to the exercise of the rights of a party to the legal person.
