Article 445: Mandatory conclusion of a contract

Where, under this Code or other laws, the conclusion of a contract is mandatory for the party to whom the offer is made (draft contract), that party must send one another a notice to the party of acceptance or refusal of acceptance or acceptance of an offer on other terms (protocol of disagreement to the draft contract) within thirty days of receipt of the offer. by issuing an offer and by receiving from a party for which the conclusion of a contract is mandatory a notice of its acceptance on other terms (protocol of disagreement to the draft contract) is entitled to transmit the differences, 2. In cases where, in accordance with this Code, it is not possible for the court to consider the communication within thirty days of the receipt of the notification or the expiry of the time limit for acceptance. The conclusion of a contract is binding on the party making the offer (draft contract) or other laws and a protocol of disagreement to the draft contract will be communicated to the party making the offer (draft contract) within thirty days. The Oron is required to notify the other party within thirty days of the receipt of the protocol of disagreement of the adoption of the treaty as drafted or of the rejection of the protocol of disagreement. If a party who is bound by this Code or other laws to conclude a contract avoids its conclusion, the other party has the right to apply to the court for a remedy. In such a case, the contract is deemed to have been concluded under the terms set out in the court decision from the moment the relevant court decision enters into force. but avoiding the conclusion of the contract must compensate the other party for the loss suffered.
