Article 173. Inviolability of a legal person ' s transaction contrary to the purposes of its activities

A transaction made by a legal person contrary to the purposes of the activity, which is clearly limited in its constituent documents, may be declared null and void by the court on the claim of the legal profession. If it is proved that the other party to the transaction knew or ought to have known about the restriction, the person who founded it (participant) or another person in whose interest the restriction is imposed.
