Article 53.1. Responsibility of a person authorized to act on behalf of a legal person, members of the collegiate bodies of a legal person and persons determining the actions of a legal person

1. A person who, by law, another legal instrument or a constituent instrument of a legal person, is authorized to act on his behalf (art. 53, para. 3) shall be obliged to pay compensation upon request by the legal profession. the person who is the founder(s) of the legal person, who acts in the interest of the legal person, the loss caused by the person ' s fault to the legal person. in the exercise of its rights and in the performance of its duties, the legal person is authorized to act on his or her behalf and shall be liable if it is proved that he or she acted in an improper manner in the exercise of his or her rights and duties. 2. Liability under article 3 of the Optional Protocol to the Convention on the Elimination of All Forms of Discrimination against Women Members of the collegiate bodies of a legal person, except those who have voted against a decision which has caused a loss to a legal person, shall also be held under paragraph 1 of this article. 3. A person who has a factual opportunity to determine the actions of a legal person, including the possibility to give instructions to persons, shall be named 4. An agreement on the elimination or limitation of liability of persons shall be made jointly and severally by the persons referred to in paragraphs 1 to 3 of this article. Article 1, paragraph 2, of the present article, for acts of bad faith, and in public society for acts of bad faith and unreasonableness (article 53, paragraph 3), is null and void. It is negligible to travel or limit the responsibility of the person referred to in paragraph 3 of this article.
