Article 53: Organizations of a legal person

1. A legal person acquires civil rights and assumes civil duties through its organs acting in accordance with the law, other legal instruments and the constituent instrument The procedure for the formation and competence of bodies of a legal person shall be determined by this Code, by another law and by a constituent instrument, unless otherwise provided for in this Code or in other circumstances. The founding document may provide that the power to speak on behalf of a legal person is vested in several persons acting jointly or independently of each other. 2.
